By creating an account, accessing, or using the NexWall Corp AI platform (the "Service"), you affirm that you are at least 18 years old and legally capable of entering into this agreement.
NexWall Corp AI is a SaaS (Software as a Service) platform that uses artificial intelligence to help businesses create, manage, and optimize digital advertising campaigns across platforms including Meta (Facebook/Instagram), Google, and TikTok.

NexWall Corp AI offers paid subscription plans (PRO and BUSINESS) billed on a monthly or annual basis. Prices are listed in USD and are subject to change with 30 days' notice.
Payments are processed by third-party payment processors (Stripe). By providing payment information, you authorize us to charge the applicable fees to your payment method. You represent that you are authorized to use the payment method provided.
Subscriptions automatically renew at the end of each billing cycle unless cancelled prior to the renewal date. You can cancel at any time through your account settings.
If we offer a free trial, it will convert to a paid subscription at the end of the trial period unless you cancel before the trial expires.

Advertising spend incurred through campaigns on Meta Ads, Google Ads, TikTok Ads, or any other ad platform is non-refundable under any circumstances. These costs are operational expenses billed directly by the advertising platforms (Meta, Google, TikTok, etc.) to the client or their ad account, and are expressly authorized by the client at the time each campaign is approved and launched.

The Service integrates with third-party platforms including Meta, Google, and TikTok. Your use of these integrations is subject to the respective terms of service and privacy policies of those platforms. We are not responsible for the actions, content, or policies of third-party platforms.
When you connect a third-party account, you authorize NexWall Corp AI to access and use your account data from those platforms solely to provide the Service.
NexWall Corp AI and all related trademarks, logos, software, and content are owned by or licensed to the Company. Nothing in these Terms grants you any right to use our intellectual property without our prior written consent.
You retain ownership of any content you upload or create using the Service ("User Content"). By uploading User Content, you grant us a non-exclusive, royalty-free license to use, reproduce, and display such content solely to provide and improve the Service.
Content generated by our AI tools on your behalf is provided for your use. You are solely responsible for reviewing and ensuring such content complies with applicable laws and platform policies before publication.
Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT THE AI-GENERATED CONTENT WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS.
We do not guarantee any specific advertising results, return on investment, or campaign performance. Actual results depend on many factors outside our control including but not limited to market conditions, advertising platform algorithms, and product quality.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXWALL CORP AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.
Our total liability to you for any claims arising from these Terms or the Service shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.
You agree to indemnify and hold harmless NexWall Corp AI and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit or publish through the Service.
We may suspend or terminate your access to the Service at any time, with or without notice, for any reason including violation of these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) shall survive.
These Terms shall be governed by the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall first be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the American Arbitration Association rules, with proceedings conducted in Sheridan County, Wyoming.
We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
